I have been advising companies as well as private and institutional investors on corporate, capital markets and commercial law matters for more than ten years. I specialise in corporate law as well as national and cross-border transactions in the areas of mergers & acquisitions, private equity, venture capital and real estate.

My work includes in particular

• Advice in connection with the drafting and negotiation of contracts for the acquisition and sale of companies (share deals/asset deals);
• Advice in connection with the acquisition and sale of shareholdings, in particular the drafting and negotiation of investment and shareholder agreements (e.g. financing rounds in the venture capital sector);
• advising in connection with the preparation and negotiation of agreements for the purchase and sale of real estate and real estate companies;
• conducting legal due diligence audits and preparing corresponding due diligence reports, also in preparation for an upcoming sales process for the seller (vendor due diligence reports);
• General corporate law advice (e.g. formation/dissolution of companies, implementation of new corporate law structures and reorganisations under the German Reorganisation Act (UmwG), etc.).

Before joining SNP in September 2018, I worked as a lawyer in leading international law firms in the areas of mergers & acquisitions, private equity and venture capital.
