About me

As a certified specialist in corporate law, my focus is on out-of-court conflict counselling and litigation in corporate and complex commercial law disputes. I have been advising on corporate litigation for over ten years and have conducted numerous complex proceedings over the full distance. I can draw on in-depth tactical and procedural expertise. I specialise in particular in

  • Corporate litigation: advising and representing clients in shareholder disputes (e.g. disputes over resolutions, contentious dismissal from management and exclusion from the company) and litigation in corporate law (e.g. actions for avoidance and nullity, interim legal protection);
  • M&A litigation: Advice and representation in M&A disputes (e.g. breach of guarantee clauses in company purchase agreements);
  • Directors’ and officers’ liability: disputes concerning the liability of company directors and officers;
  • Advice and representation in complex commercial and business law disputes (in particular with reference to Italy).

My credo: If conflicts and legal disputes cannot be avoided or resolved out of court, the legal dispute must be conducted with the utmost determination and consistency in order to ensure the long-term economic success of my clients.

In addition to conflict counselling and litigation, I advise my often long-standing clients from the upper mid-market on all corporate and commercial law matters with a particular focus on transactions (small & mid caps), in particular

  • Drafting and negotiating purchase agreements for company acquisitions and sales (share deal/asset deal);
  • Conducting legal due diligence reviews and preparing corresponding due diligence reports;
  • Shareholder agreements (SHA), investment agreements and convertible loan agreements (CLA);
  • Examination of general commercial and corporate law issues.

I also specialise in inheritance law, in particular in advising family businesses on the inheritance and corporate law aspects of company transfers during a lifetime and in disputes relating to company succession. As a certified specialist in inheritance law, I head the cross-location specialist group “Inheritance law and succession” at SNP Schlawien. Together with our team of three specialist lawyers for inheritance law at our Munich office, we can also offer our private clients a very high and specialised quality of advice in inheritance law, including at the interfaces between inheritance and tax law as well as inheritance and family law.

I am a founding member of the Italian Desk of SNP Schlawien. My special language skills enable me to advise and represent Italian clients in Germany.

I studied law at the Ludwig-Maximilians-University in Munich and at the Università Cattolica del Sacro Cuore in Milan. After passing the assessor exam, I initially worked in a German-Italian commercial law firm in Munich and joined SNP Schlawien in 2014, becoming a partner in 2019.

In my private life, I am interested in philosophy (in addition to the Greek classics around Socrates, Plato and Aristotle, especially the first generation of the Frankfurt School around Adorno and Horkheimer and their critical theory) and studied part-time at the Jesuit School of Philosophy in Munich. I am currently studying for a doctorate in philosophy there.

“The corporate law practice has recently benefited increasingly from recommendations from competitors; several clients relied on SNP for the first time, particularly in the contentious area. For example, the law firm is advising an energy producer on a shareholder dispute in the parent company.”

JUVE Handbook of Commercial Law Firms 2020/2021

“Clients have recently been consulting SNP more frequently in litigation and shareholder disputes. A young corporate partner, who has already been more active than before in shareholder disputes and litigation, is involved in expanding the business.”

“Success-orientated and tactically very adept.”

⭐⭐⭐⭐⭐

“Mr Muth provided me with excellent advice and representation in a contentious and legal dispute with my co-shareholder.

He represented my interests at the shareholders’ meeting and obtained an interim injunction against the other party.

He also successfully conducted the action before the Munich Regional Court. I can definitely recommend Mr Muth to others.”
