Ulrich Leierseder

As a certified specialist in commercial and corporate law, I specialize in these two areas of law. My focus is on transactions (mergers & acquisitions) and corporate law disputes, in particular

• the drafting and negotiation of purchase agreements for company acquisitions and sales (share deal/asset deal);
• conducting legal due diligence reviews and preparing the corresponding due diligence reports;
• advising on M&A disputes (pre- and post-closing disputes);
• advising on shareholder disputes (e.g. disputes over resolutions, disputed dismissal from management and exclusion from the company) and litigation in corporate law (e.g. actions for rescission and nullity, preliminary legal protection);
• the examination of general commercial and corporate law issues.

A further focus is on inheritance law, advising family businesses on the inheritance and corporate law aspects of company transfers during a lifetime or company succession upon death. I am also an honorary board member of numerous charitable foundations and associations and an executor of wills.

My special language skills and contacts with Italian colleagues enable me to advise and represent Italian clients in Germany and to support German clients in safeguarding their interests in Italy. Accordingly, I am a member of the Italian Desk of SNP.
